These Terms & Conditions ("Terms") are a legally binding agreement between you and iTribe Project ("iTribe", "we", "us", "our") governing your use of https://www.itribe.us and the iTribe mobile application (collectively, the "Platform"). Please read them carefully — Section 17 contains an arbitration agreement and class-action waiver that affect your legal rights.
1. Acceptance of Terms
By creating an account, clicking "I agree", or otherwise using the Platform, you confirm you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Community Guidelines. If you do not agree, do not use the Platform.
2. Eligibility
You must be at least 14 years old to use the Platform. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Users under 13 are prohibited from using the Platform (COPPA). If you sign up on behalf of an organization, you represent you have authority to bind that organization.
3. Account Registration & Security
- You agree to provide accurate, current, complete information and to keep it updated.
- You are responsible for safeguarding your password and for all activities under your account.
- Notify us immediately of any unauthorized use by emailing tech@itribe.us.
- Each user may register as a Visitor, Member, or Leader. Members may belong to only one tribe at a time. Leaders may create and lead multiple tribes, subject to admin approval.
4. Tribes and Community
Tribes created on the Platform must be approved by an administrator before becoming active. We reserve the right to reject, suspend, or remove any tribe at our discretion. Leader removal requests are reviewed by administrators. All use of the Platform must follow our Community Guidelines.
5. Campaigns and Donations
- A one-time activation fee of $12.00 is required per tribe before the first campaign can be published.
- Leader-created campaigns are published immediately. Member-created campaigns require administrator approval.
- All payments are processed by Banquest. Your use of Banquest is subject to the Banquest Merchant Agreement. iTribe never stores full card details — card data is collected by Banquest's hosted iframe and never transits the iTribe servers.
- Donors may contribute beyond the campaign goal amount. Completed campaigns are displayed for reference and transparency. Donations are not accepted once a campaign has ended.
- Homa U'migdal (EIN: 80-053883) — donations are tax-deductible to the fullest extent allowed by law. We do not provide tax or legal advice; consult your own advisor.
- Refunds: donations are generally non-refundable. If a campaign is fraudulent or materially misrepresented, email us within 30 days and we will review.
6. User Content
You retain ownership of content you post ("User Content"). By posting, you grant iTribe a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, publish, publicly display, and distribute your User Content on and in connection with the Platform — including for promotional use of the Platform itself. This license survives termination for content you shared publicly before termination. You represent you have all rights necessary to grant this license.
7. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or to promote illegal activities.
- Post content that violates our Community Guidelines.
- Attempt to gain unauthorized access to other accounts or Platform systems.
- Use automated systems (bots, scrapers) to access the Platform except as permitted by our robots.txt.
- Impersonate another person or misrepresent your affiliation.
- Upload viruses, malware, or any malicious code.
- Circumvent security or access controls, including rate limits.
- Use the Platform to develop a competing product.
8. Account Suspension and Termination
We reserve the right to suspend or terminate your account if you violate these Terms. You will receive email notification with the reason, unless doing so would compromise an investigation or safety. You may delete your account at any time via Settings → Personal Settings or by emailing us. Termination does not waive obligations accrued before termination.
9. Copyright & DMCA
We respond to takedown notices under the Digital Millennium Copyright Act. See our DMCA Policy for how to submit a notice or counter-notice.
10. Crypto Wallets
You may add cryptocurrency wallet addresses to your profile to receive campaign funds. We store the address only; we do not custody, process, or facilitate cryptocurrency transfers. You are solely responsible for the accuracy of your address and for compliance with applicable tax and financial regulations.
11. Intellectual Property
The Platform, its design, features, name, and content (excluding User Content) are owned by iTribe and protected by copyright, trademark, and other laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Platform.
12. Feedback
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without obligation to you.
13. Third-Party Services
The Platform integrates with third-party services (Banquest, Google, Firebase, mapping providers, etc.). Your use of these services is governed by their own terms. We are not responsible for third-party acts or omissions.
14. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ITRIBE, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (a) $100 OR (b) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow limitation of certain damages; these limits apply to the fullest extent permitted.
16. Indemnification
You agree to indemnify, defend, and hold harmless iTribe and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorney fees) arising from (a) your User Content, (b) your violation of these Terms, or (c) your violation of any law or third-party right.
17. Governing Law, Arbitration, and Class-Action Waiver
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, held in New York County, New York, or another location reasonably accessible to you. Each party bears its own costs unless AAA rules provide otherwise. You waive the right to participate in a class action or class arbitration. Notwithstanding the foregoing, either party may seek injunctive relief in court for claims of intellectual-property infringement or unauthorized access. You may opt out of arbitration within 30 days of account creation by emailing tech@itribe.us with the subject "Arbitration Opt-Out."
18. International Use & Export Controls
The Platform is controlled from the United States. You agree to comply with all applicable export laws and regulations and represent you are not located in, or a resident or national of, a country subject to US embargo (or a restricted-party list).
19. Changes to Terms
We may update these Terms from time to time. Material changes will be announced at least 14 days in advance by email and/or in-app notice. Continued use after the effective date constitutes acceptance. If you object, stop using the Platform and delete your account.
20. Miscellaneous
- Entire agreement: these Terms, together with our Privacy Policy, Cookie Policy, and Community Guidelines, are the entire agreement between you and iTribe.
- Severability: if any provision is held invalid, the rest remains in effect.
- No waiver: failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment: you may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
- Survival: sections 6, 11-17, 20, and any provision that by its nature should survive, do survive termination.
